Obsidian Digital Technologies LLC
1. Acceptance of Terms
By accessing, using, or engaging the services of Obsidian Digital Technologies LLC (“Company,” “we,” “us,” or “our”), you (“Client,” “User,” or “you”) agree to be bound by these Terms of Service. If you do not agree, you must not use our services.
2. Services Provided
Obsidian Digital Technologies LLC provides professional services including, but not limited to:
- Website design and development
- Application design and development
- IT services and technical support
- Cybersecurity consulting and digital solutions
- Administrative, systems, and technical consulting services
Specific services, deliverables, pricing, and timelines are defined separately in a Service Agreement, Statement of Work (SOW), Invoice, or written communication.
3. Independent Contractor Relationship
All services are provided as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
You acknowledge that Obsidian Digital Technologies LLC controls the manner and method of performing services.
4. No Guarantees
Obsidian Digital Technologies LLC does not guarantee:
- Business results, revenue, profits, or growth
- Rankings, engagement, performance metrics, or outcomes
- Complete security from cyber threats, attacks, or data loss
All services are provided using reasonable professional skill and judgment.
5. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information
- Respond promptly to requests for approvals or materials
- Use services and deliverables lawfully
Delays caused by client inaction or inaccurate information are not the responsibility of Obsidian Digital Technologies LLC.
6. Payments & Billing
Payment terms are defined in the applicable Service Agreement, SOW, or Invoice.
Failure to make timely payment may result in:
- Suspension of services
- Withholding of deliverables
- Termination of services
All payments made are non-refundable unless explicitly stated otherwise in writing.
7. Intellectual Property
Unless otherwise agreed in writing:
- All tools, templates, systems, frameworks, workflows, and methodologies remain the property of Obsidian Digital Technologies LLC
- Clients receive a limited, non-exclusive license to use final deliverables only after full payment
- No ownership transfers until payment is complete
8. Confidentiality
Both parties agree to maintain confidentiality of non-public, proprietary, or sensitive information shared during the engagement.
Confidentiality obligations survive termination.
9. Third-Party Platforms
Services may involve third-party platforms, software, hosting providers, or payment processors. Obsidian Digital Technologies LLC is not responsible for the content, security, availability, or privacy practices of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law:
- Obsidian Digital Technologies LLC shall not be liable for indirect, incidental, consequential, or punitive damages
- Total liability shall not exceed the amount paid to Obsidian Digital Technologies LLC within the previous 60 days
- Your misuse of services or deliverables
- Violation of laws or third-party rights
- Content or data you provide
- Non-payment
- Breach of these Terms
- Unlawful or abusive conduct

You agree to indemnify and hold harmless Obsidian Digital Technologies LLC from claims, damages, losses, or expenses arising from:

Termination does not relieve payment obligations for services already rendered.
13. Modifications to Terms
We may update these Terms of Service at any time. Updates become effective upon posting. Continued use of services constitutes acceptance of the revised terms.
14. Governing Law
These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Maryland, without regard to conflict-of-law rules.
